By signing up and accessing ProQube, you agree to be bound by these terms.

2. Description of Services
ProQube provides an out-of-the-box AI-powered procurement automation platform that streamlines sourcing and purchasing workflows through intelligent agents. Our system automates supplier discovery, RFx creation, negotiations, contract management, and PO/invoice handling—all without requiring custom development.

3. User Accounts & Responsibilities
Users must provide accurate and current information, keep login credentials secure, and use the platform only for lawful business purposes. Users are responsible for account activity and must report unauthorized access immediately.

4. Permitted Use / Restrictions
Users may not reverse engineer, copy, exploit, or misuse the platform. Use of ProQube must comply with laws and these Terms. Violations may result in suspension or permanent ban.

5. Subscription & Billing
ProQube offers monthly, annual, and usage-based plans. Subscriptions renew automatically unless canceled. Refunds are only issued for accidental or duplicate charges. All other payments are final.

6. Intellectual Property
ProQube owns all platform code, AI models, and designs. Users retain ownership of their uploaded data and are granted a limited license to use the platform.

7. User Content & Data
User documents are encrypted and stored securely. Users own their data and generated outputs. ProQube may use anonymized data to improve platform performance.

8. Termination
Users may cancel accounts anytime. ProQube may suspend or terminate access for Terms violations, abuse, or failure to pay. Termination may result in data loss per our policy.

9. Disclaimers & Limitation of Liability
The platform is provided 'as is.' Users assume responsibility for all business decisions made using our tools. We are not liable for indirect or consequential damages.

10. Indemnification
Users agree to indemnify and hold ProQube harmless from claims arising from Terms violations, misuse, or infringement of third-party rights.

11. Governing Law & Dispute Resolution
These Terms are governed by the laws of Delaware. Disputes shall be resolved via binding arbitration in Delaware under AAA rules. No jury trials or class actions permitted.

12. Modifications to Terms
We may modify these Terms at any time. Users will be notified via email or site updates. Continued use of the platform constitutes acceptance of the new Terms.
